- 9.2 Arbitration Agreement Mandatory Arbitration: You agree that any dispute, claim, or controversy arising out of or relating to your use of our services, these Terms of Service, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively through final and binding arbitration, rather than in court.
- Arbitration Rules: The arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association’s (“AAA”) rules and procedures, including the AAA’s Consumer Arbitration Rules (as applicable), as modified by this arbitration agreement.
- Arbitration Location: Unless you and Sound Metal Distribution Inc. agree otherwise, the arbitration will be conducted in Miami-Dade County, Florida.
- Arbitrator’s Decision: The arbitrator’s decision will be final and binding on all parties. The arbitrator shall have authority to award temporary, interim, or permanent injunctive relief or relief providing for specific performance, but only to the extent necessary to provide relief warranted by the claimant’s individual claim.
- 9.3 Waiver of Jury Trial YOU HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You are instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement.
- 9.4 Jurisdiction Governing Law: These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the State of Florida without giving effect to any choice or conflict of law provision or rule.
- Jurisdiction for Legal Actions: Any legal actions against Sound Metal Distribution Inc. that are not subject to arbitration, and are permissible under this Terms of Service, shall be initiated exclusively in the state or federal courts located in Miami-Dade County, Florida.
